Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Agentflare, Inc. ("Agentflare," "we," "us," or "our") governing your access to and use of our platform, services, software, and website (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

Description of Services

Agentflare provides protocol-level observability for AI agent systems, enabling developers to monitor, debug, and optimize multi-agent workflows. Our Services include agent deployment, tool orchestration, performance monitoring, compliance validation, and related features designed to make agent reasoning transparent and measurable.

Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our Services. By using the Services, you represent and warrant that you meet these eligibility requirements. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Account Registration

To access certain features of our Services, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

Acceptable Use Policy

You agree not to:

• Use the Services for any illegal purpose or in violation of any laws
• Violate the intellectual property rights of Agentflare or third parties
• Transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the Services or servers
• Use automated systems to access the Services without permission
• Reverse engineer, decompile, or disassemble any part of the Services
• Remove or modify any proprietary notices or labels
• Use the Services to compete with Agentflare or develop competing products
• Engage in any activity that could harm Agentflare's reputation or business

Intellectual Property Rights

Our Intellectual Property

The Services, including all content, features, functionality, software, and technology, are owned by Agentflare and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes, subject to these Terms.

Your Content

You retain ownership of any data, code, configurations, or content you submit to the Services ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display Your Content solely to provide and improve the Services. You represent and warrant that you have all necessary rights to grant this license.

Feedback

If you provide us with feedback, suggestions, or ideas about the Services, you grant us the right to use such feedback without any obligation to you.

Payment and Billing

Certain features of our Services require payment. By subscribing to a paid plan, you agree to:

• Pay all fees associated with your selected plan
• Provide accurate and complete billing information
• Authorize us to charge your payment method on a recurring basis
• Pay any applicable taxes

We reserve the right to change our pricing at any time. Price changes will be communicated in advance and will apply to subsequent billing periods. Fees are non-refundable except as required by law or as expressly stated in these Terms.

Service Level and Availability

While we strive to provide reliable and uninterrupted Services, we do not guarantee that the Services will be available at all times or free from errors. We may suspend or restrict access to the Services for maintenance, updates, or other reasons. We are not liable for any downtime, service interruptions, or data loss.

Data Privacy and Security

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. We implement industry-standard security measures to protect your data, but we cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account credentials and for any activities under your account.

Third-Party Services

Our Services may integrate with or contain links to third-party services, applications, or websites. We are not responsible for the content, functionality, or practices of these third parties. Your use of third-party services is subject to their respective terms and policies.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. AGENTFLARE DOES NOT WARRANT THAT:

• The Services will meet your requirements or expectations
• The Services will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Services will be accurate or reliable
• Any errors in the Services will be corrected

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTFLARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF AGENTFLARE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless Agentflare and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) Your Content.

Term and Termination

These Terms remain in effect while you use the Services. You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Services at any time, with or without cause or notice, including for:

• Violation of these Terms
• Non-payment of fees
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity

Upon termination, your right to use the Services will immediately cease. We may delete Your Content after termination. Provisions that by their nature should survive termination will survive, including intellectual property rights, disclaimers, limitations of liability, and dispute resolution provisions.

Dispute Resolution

Informal Resolution

Before filing a claim, you agree to contact us at legal@agentflare.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

Arbitration

If we cannot resolve the dispute informally, any dispute arising out of or relating to these Terms or the Services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be conducted in Charlotte, North Carolina, or another mutually agreed location. You and Agentflare agree to waive the right to a jury trial or to participate in a class action.

Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Agentflare regarding the Services.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
